Terms of Service

1. Agreement to Terms

By engaging InfraCV ("Company," "we," "us") for consulting, development, or deployment services, you ("Client," "you") agree to be bound by these Terms of Service. These terms govern all professional services engagements between InfraCV and its clients.

2. Services

InfraCV provides enterprise computer vision and Edge AI consulting services including but not limited to: hardware selection and architecture design, camera and sensor integration, custom model development and training, model optimization for edge deployment, and ongoing technical support.

The specific scope, deliverables, timelines, and fees for each engagement will be defined in a separate Statement of Work (SOW) or project agreement signed by both parties.

3. Client Responsibilities

You agree to:

• Provide timely access to necessary data, systems, hardware, and environments required for the engagement
• Designate a point of contact with authority to make project decisions
• Review and provide feedback on deliverables within agreed timelines
• Ensure that any data provided to InfraCV is lawfully collected and you have the right to use it for the intended purpose

4. Intellectual Property

Upon full payment, all custom models, code, and deliverables created specifically for your engagement are owned by you, unless otherwise specified in the SOW.

InfraCV retains ownership of its pre-existing tools, frameworks, libraries, and methodologies used during the engagement. We may use general knowledge and techniques gained during the engagement for future work with other clients, provided no confidential information is disclosed.

5. Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets, technical data, business strategies, or other sensitive information disclosed during the engagement. This obligation survives the termination of the engagement for a period of two (2) years.

6. Payment Terms

Payment terms, rates, and schedules will be defined in the SOW. Unless otherwise agreed, invoices are due within thirty (30) days of issuance. Late payments may incur interest at 1.5% per month on the outstanding balance.

7. Warranties and Disclaimers

InfraCV will perform services with reasonable skill and care consistent with industry standards. However, we do not guarantee specific model accuracy levels, inference speeds, or business outcomes unless explicitly committed to in writing within the SOW.

Computer vision and AI systems are inherently probabilistic. Performance may vary based on environmental conditions, data quality, and deployment context.

8. Limitation of Liability

To the maximum extent permitted by law, InfraCV's total liability for any claims arising from an engagement shall not exceed the fees paid by the Client for that specific engagement. InfraCV shall not be liable for indirect, incidental, consequential, or punitive damages.

9. Termination

Either party may terminate an engagement with thirty (30) days written notice. Upon termination, the Client shall pay for all services performed and expenses incurred up to the termination date. InfraCV will deliver all completed work product upon receipt of final payment.
